Denizbank Inc. Corporate Governance Compliance Statement

Prior to its IPO, DenizBank voluntarily released the “Corporate Governance Report”, which was approved by the Board of Directors on September 16, 2004, taking into account international principles and industry practices. DenizBank accepts Corporate Governance Principles as a matter that requires dynamic and continuous improvement and continues to develop its activities within this framework.

With a sense of governance founded on the principles of transparency, equality, responsibility and accountability, DenizBank is committed to the principles of corporate governance determined in accordance with the Banking Legislations, the Turkish Commercial Code, and related regulations and strives to ensure maximum compliance with national and international practices regarding the regulation of relations with stakeholders, the determination of the duties, powers and responsibilities of the Board of Directors and executive-level employees reporting to the Board.

The Corporate Governance and Nomination Committee, consisting of members of the Board of Directors who are not involved in the execution, monitors and develops practices regarding the principles. The committee is responsible for monitoring the bank's compliance with the Corporate Governance Principles.

In accordance with the principle of transparency in Corporate Governance Principles; DenizBank has built a website to bring information to the public attention in a way that helps relevant individuals and organizations make decisions in a timely, accurate, complete, timely, impartial, accessible and equitable manner.
